Terms of Service

1. Acceptance of Terms

By accessing or using Criterion ("the Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these terms. If you do not agree, you may not use the Service.

2. Description of Service

Criterion is a product feed management and optimisation platform. We provide tools for importing product data from e-commerce platforms, generating AI-powered feed optimisations, running diagnostic analyses, managing advertising channel exports, and measuring performance impact. Features and availability may vary by subscription plan.

3. User Accounts

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You agree to:

  • Provide accurate and complete registration information.
  • Keep your login credentials confidential and not share them with unauthorised parties.
  • Notify us immediately of any unauthorised access to your account.
  • Ensure that users within your organisation have appropriate roles and permissions.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to gain unauthorised access to the Service, other accounts, or systems connected to the Service.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Upload malicious content, viruses, or harmful code through product data imports or API integrations.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service or its AI models.
  • Resell or redistribute the Service without a valid Agency plan or written agreement.

5. Intellectual Property

The Service, including its software, AI models, algorithms, interface designs, and documentation, is owned by Criterion and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes.

You retain ownership of all product data, feed content, and other materials you upload to the Service. By using Criterion, you grant us a licence to process this data solely for the purpose of providing and improving the Service.

6. Payment Terms

Paid plans are billed in advance on a monthly or annual basis. Fees are non-refundable except where required by law. We reserve the right to change pricing with 30 days' notice.

  • Payments are processed securely through Stripe or, for Shopify App Store installations, through Shopify Billing.
  • If payment fails, we may suspend access to paid features after a grace period.
  • Usage limits (SKU count, channel count) are enforced based on your active plan. Exceeding limits may require an upgrade.

7. Termination

You may cancel your account at any time through your account settings. Upon cancellation:

  • Your access continues until the end of the current billing period.
  • Feed exports and channel syncs will cease at the end of the billing period.
  • Your data will be retained for 30 days to allow for reactivation, after which it will be permanently deleted.

We may suspend or terminate your account if you violate these terms, with notice where practicable.

8. Limitation of Liability

To the maximum extent permitted by law, Criterion and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, lost profits, or loss of data arising from your use of the Service.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid to Criterion in the twelve months preceding the claim. AI-generated optimisations and predictions are provided as suggestions and do not constitute guarantees of advertising performance.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

10. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
